You agree not to, and not to allow any user under your account to:
We may suspend or terminate access for violations of this section, with or without prior notice, depending on the severity.
You retain all rights, title, and interest in the manuscript files, review content, metadata, and other materials you upload or generate through the Service ("Your Content"). You grant xPaperFlow a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Your Content solely to operate the Service in accordance with these Terms and your configuration.
You represent and warrant that you have all rights necessary to upload and process Your Content, and that doing so does not violate any law or third-party right.
We may anonymize and aggregate data derived from Your Content to produce statistics and improve the Service, provided that such data does not identify you, your organization, or any individual.
The Service, including its software, design, trademarks, logos, and documentation, is and remains the property of Experts InfoTech (Pvt) Ltd. or its licensors. Each party may receive non-public information from the other that is identified as confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will protect the disclosing party's Confidential Information with the same degree of care it uses to protect its own confidential information of like importance (and at least reasonable care), and will not disclose Confidential Information to any third party except to employees, contractors, and advisors who have a need to know and are bound by confidentiality obligations no less protective than those in these Terms.
We maintain administrative, technical, and physical safeguards designed to protect the Service and Your Content, as described in our Privacy Policy. On reasonable written notice, we may grant you the right to audit our security controls relevant to the Service, subject to scope, frequency, and confidentiality limitations agreed between the parties.
Each party will comply with applicable data protection laws. The Privacy Policy describes how we handle personal data in connection with the Service. Where required by law, the parties will enter into a separate data processing agreement.
The Service may interoperate with third-party platforms (for example DOI/CrossRef, ORCID, plagiarism services, identity providers). Your use of those services is subject to their own terms. We are not responsible for the acts or omissions of any third-party provider.
We will use commercially reasonable efforts to make the Service available in accordance with our service-level commitments. Except as expressly stated in these Terms or in the ordering document, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your particular requirements.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service, even if advised of the possibility of such damages. Each party's aggregate liability arising out of or related to the Service will not exceed the greater of (a) the fees paid by you to xPaperFlow in the 12 months preceding the claim, or (b) USD 1,000. Nothing in these Terms limits liability that cannot be limited by law (for example, liability for fraud, death, or personal injury).
You will defend, indemnify, and hold xPaperFlow and its affiliates, officers, and employees harmless from and against any third-party claim arising out of (a) Your Content; (b) your misuse of the Service; or (c) your violation of these Terms or any applicable law. We will promptly notify you of any claim subject to indemnification, give you sole control of the defense, and provide reasonable cooperation at your expense.
You may terminate your subscription at any time by following the in-product cancellation flow or contacting us. We may terminate or suspend access to the Service for any breach of these Terms, with or without notice, depending on the breach. Upon termination, your right to use the Service ends, and we will make Your Content available for export for a defined period as specified in your ordering document. Sections that by their nature should survive termination will do so.
We may update these Terms from time to time. The "Last updated" date above reflects when the Terms were last revised. Material changes will be communicated through the Service or by email where appropriate. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
